Banking & Finance, Project Finance

We advise clients on financing and refinancing matters and are well versed with a variety of financing structures and security rights, and act for both lenders and borrowers. We also have extensive Capital Markets knowledge having been involved in the listing of a company on the Nairobi Stock Exchange and in helping the government raise finance through various syndicated loans and tapping of the Eurobond.

Private Equity and Venture Capital

We represent several Private Equity and Venture capital firms. Our service offerings range from venture and growth capital transactions, business and financial restructurings, add-on acquisitions and leveraged recaps. We handle private equity exit transactions, including trade sales and initial public offerings.

Employment Law

We have extensive experience and expertise in the field of employment law. The issues on which we advise include reorganizations, dismissals, management agreements, employee participation and the employment law aspects that play a part in mergers and acquisitions and insolvencies.

Intellectual Property

We work with local and international organizations spanning various industries, on a wide range of intellectual property issues, including commercializing, acquiring and licensing intellectual property, and enforcing and defending intellectual property in litigation, arbitration and other dispute resolution proceedings.

Capital Markets

Over time, we have grown our experience in the capital markets sector advising our clients on a wide array of matters. We have acted for clients in listings, capital raisings, take-overs and mergers of companies, setting-up ESOPs, restructuring of companies and assisting clients regulate their shareholder relations through drafting shareholders’ agreements. Our skillset allows us to offer services to publicly listed companies in the Nairobi Stock Exchange as well as private companies.

We are a market leader and are often called upon to offer advisory services as well as act for clients in capital raising transactions in domestic and international debt and equity markets, structuring and drafting of capital markets legal documentation, privatisation, project finance and large transaction due diligence undertakings in Kenya and the region.

Some of the highlighted Corporate & Commercial matters
  • Advised on a PPP concession contract for the Kenyan Northern Corridor (a key regional transport route linking Burundi, DRC, South Sudan and Uganda) and the financing to expand it, by the International Development Association and the African Development Bank (as part of the negotiating team).
  • Part of a global team of lawyers that drafted a Petroleum Model Production Sharing Agreement for Federal Republic of Somalia.
  • Acted as the lead legal adviser in the first Sharia-compliant listing on the Nairobi Securities Exchange of our client Kurwitu Ventures.
  • Advised Safaricom Limited as external counsel and did regular due diligence on its business partners and completed close to 600 legal audits. We also helped manage the company’s contracts and provided corporate law support to its legal department.
  • Acted for Freedom Airlines (the Airline) before the Competition Authority of Kenya. We also advised the Airline on the Kenya Civil Aviation Authority’s air transport regulations and helped them ensure that they are in compliance of the regulations.
  • Advised clients on the setting up of registered ESOPs at the Capital Markets Authority and the Kenya Revenue Authority.
